Course Objective

Objective of this course is to state that commercial relations mainly developed by commercial enterprises and their owners as natural or corporate persons are set forth by legal regulations. To raise awareness of necessity of authentic interpretation and understanding correctly of legal regulations those are based on and generated by legal knowledge. Attendants are expected to acquire ability at least to take precautions or to apply the authentic interpretation of legal regulations in settling actual or fictional conflicts.

Learning Outcomes of the Course Unit

1   To manifest and interpretate the concepts of commercial transactions
2   To interpretate the effects and consequences of being a tradesman or not
3   To present the legal nature of models organizing the distribution of goods and services and diversities between such models
4   To express the concept of trademark, registration of trademarks and rights endowed by registration.
5   To identify the unfair competition and to express the types and consequences of unfair competition.
6   To put forth the distinctive features of partnership from other civil law associations
7   To express the establishment and general features of trade companies, functioning of executive and legislative bodies of trade companies.

1 Introduction to commercial law- systems- basics of international trade law
2 Definition and elements of commercial enterprises, distinction between commercial and craft enterprises' center and branch offices.
3 Some transactions related to commercial enterprises, pledge and ownership contracts of commercial enterprises- business transactions (into, TTK art. 3)
4 Business transactions- presumption of commerce, commercial contract for a party- consequences of business transactions (intro).
5 Consequences of business transactions (presumption of solidarity- rate of interest in business transactions) Regulations binding business transactions and commercial litigation.
6 Tradesmen (both natural and legal persons)- expiration of the title- bankruptcy of a tradesmen
7 Consequences of being a tradesman (trade name, trade registry, commercial books, prudent businessman, commercial customs, ext.)
8 Midterm exam

10 Trade registry- trade name- enterprise name
11 Unfair competition and trademark
12 Commercial agency
13 Concept and elements of partnership, ordinary partnership
14 Establishment of collective and commandite company, liabilities of their partners- Establishment of limited and stock company, functioning of their bodies
