Course Objective

The aim of the course is to teach the general rules of business law and to provide information about practice of business law and its institutions.

1   1. To learn the concepts and the institutions of business law, company law and securities law.
2   2. To determine problems arising from application of business law.
3   3. To prevent and to solve the problems which may occur from the application of business law.

1 Representation: Representation relationship between principal and representative; different kinds of representation. Torts

3 Performance of obligation: Legal nature of performance; the parties of performance; subject-matter of performance; time of performance; place of performance Default of creditor
4 Violation (Breach) of contracts: Meaning of breach of contract; compensation for non-performance of the obligation.
5 Termination of contracts Assignment (transfer) of rights to claim

7 Commercial enterprise: commercial enterprise and economic enterprise; elements of commercial enterprise; the principles governing the commercial enterprise.
8 Important Transactions about business concerns: Disposal and pledge of commercial enterprise

10 Merchant; real person merchant; legal entities as merchants; consequences of being a merchants
