Course Objective

The aim of the course is to teach the general rules of commercial law and to provide information about practice of commercial law and its institutions.

1   To learn the concepts and the institutions of commercial law.
2   To determine problems arising from application of commercial law.
3   To prevent and to solve the problems which may occur from the application of commercial law.

6 The basic concepts of company law - General Provisions - Mergers and acquisitions - Groups of Companies
7 Partnerships, Personal Partnerships Ordinary Partnership, Commercial Partnerships; Personal Partnership, Capital Associations. General Partnership, Partnership with Limited Liability

9 Capital Associations I The Organization of stock corporations; Board of Directors, General Assembly, Auditors.
10 Capital Associations II Shares, the Shareholder and its legal status
11 Capital Associations III The balance sheet, inventory, Insolvency, Bankruptcy, Liquidation, Dissolution
