Course Objective

The aim of the course is to teach the basic concepts of business law and to provide information about practice of business law and it's institutions.

Learning Outcomes of the Course Unit

1   To learn concepts and institutions of law of obligations, business and securities law.
2   To determine problems arising from application of law of obligations and business law.
3   To prevent and to solve the problems which may occur from the application of law of obligations and business law.

1 - Introduction - Representation: Representation relationship between principal and representative; different kinds of representation.
2 - Torts - No fault liability - Unjust enrichment
3 - Performance of obligation - Default of creditor
4 - Violation (Breach) of contracts: Meaning of breach of contract; compensation for non-performance of the obligation.
5 - Termination of contracts - Assigment (transfer) of rights to claim
6 - Commercial enterprise: commercial enterprise and economic enterprise; elements of commercial enterprise; the principles governing the commercial enterprise
7 - Important transactions about business concerns: disposal and pledge of commercial enterprise
8 - Commercial transactions
9 Merchant; real person merchant; legal entities as merchants; consequences of being a merchants
10 - Merchant's assistants, commercial registry, commercial books
11 The commercial firm name (trade name); firm name, trademark, patent, unfair competition
12 - Commercial papers - Draft, promissory note, checks
